Each signatory confirms authority to bind the relevant party.

1. APPOINTMENT
The Client appoints the Consultant to perform the services and deliverables in Schedule 1. The Consultant controls the manner and timing of work subject to agreed milestones and lawful Client policies.

2. STATUS
The Consultant acts as an independent contractor and has no authority to bind the Client unless expressly authorised. The parties must assess employment and tax status on the actual working arrangements.

3. FEES AND EXPENSES
The fee is [AMOUNT / DAY RATE / MILESTONE] in [GBP / EUR / USD]. Invoices are payable within [NUMBER] days. Expenses require prior written approval and evidence.

4. STANDARD AND REPORTING
The Consultant shall use reasonable skill and care, report progress [FREQUENCY], disclose material delays and maintain appropriate records.

5. CONFIDENTIALITY AND CONFLICTS
The Consultant shall protect Client information, disclose conflicts and not misuse opportunities or property obtained through the engagement.

6. INTELLECTUAL PROPERTY
Background IP remains with its owner. New deliverable IP is [ASSIGNED / LICENSED] to the Client on [CREATION / FULL PAYMENT], subject to listed third-party materials.

7. DATA AND SECURITY
The Consultant shall use approved systems and follow the data-processing and security requirements in Schedule 1.

8. TERMINATION
Either party may terminate on [NUMBER] days' notice or immediately for material breach, serious misconduct, conflict or unlawful performance. The Consultant shall return information and provide agreed handover.

GENERAL
Notices must be sent to the addresses and emails stated in Schedule 2. Neither party may assign this agreement without written consent, except as expressly agreed. This agreement and its schedules contain the entire agreement on its subject. A variation must be signed by authorised representatives. If a provision is invalid, the remainder continues. Delay in enforcement is not a waiver. No third party has a right to enforce this agreement unless stated.

GOVERNING LAW AND DISPUTES
This agreement is governed by the law of England and Wales [CHANGE IF REQUIRED]. The courts of England and Wales have exclusive jurisdiction [OR INSERT AGREED ARBITRATION / MEDIATION PROCESS].
